Scope. These terms govern use of High Wire software: the website, the developer documentation, the sandbox, the API, and the merchant, agent and platform portals. They apply to anyone who visits the site or signs in to a portal, whether or not a separate agreement is in place, subject to the order of precedence in section 2.
They are not the payment services agreement, and do not govern how you process. Underwriting, boarding, acceptance, settlement, reserves, fees, chargebacks, prohibited business categories and termination of processing are governed by your signed merchant or partner agreement, together with the operating rules of the card networks and the requirements of the acquiring banks and processors that hold your merchant account. Nothing in these terms adds to, limits or replaces those obligations.
1. Who these terms are between
These terms are an agreement between you and High Wire Enterprises LLC, a Delaware company, 515 Marin St., Suite 316, Thousand Oaks, CA 91360 ("High Wire", "we", "us"). "You" means the person using the website or a portal, and the organization on whose behalf that person acts.
If you accept these terms for an organization, you confirm you are authorized to bind it.
2. Order of precedence
If you have a signed agreement with us, it governs over these terms and over any product-specific terms if there is any conflict or inconsistency, unless the signed agreement expressly says otherwise. Where the signed agreement is silent, these terms apply. Product-specific terms presented in the portal govern over these terms for that product. No update to these terms amends a signed agreement. Applicable law and, where they apply to you, card network operating rules govern over all of these.
If you have a signed agreement with us, its provisions on limitation of liability, indemnity, governing law, dispute resolution and notices also apply to these terms, in place of sections 15, 16 and 20.
3. Eligibility
- You must be at least 18 and able to form a binding contract.
- You must not be located in, or ordinarily resident in, a jurisdiction subject to comprehensive sanctions, and must not appear on any applicable restricted-party list.
- Access is intended for business use. The portals are not consumer services and must not be used for personal, family or household purposes.
4. Accounts and credentials
You are responsible for everything done with your account, your API keys and your webhook secrets.
- Keep credentials confidential. Do not share logins between people, and do not place live secret keys in client-side code or public repositories.
- Tell us promptly at [email protected] if you believe a credential has been exposed.
- We may rotate or revoke a credential we reasonably believe is compromised, and will tell you when we do.
- Keep your contact details current. Notices sent to the address on your account are treated as received.
5. Acceptable use of the software
These restrictions concern the software itself. How you process payments, and what you may sell, are governed by your merchant or partner agreement and by the card network rules.
You agree not to:
- Interfere with the services, probe or scan them without written authorization, or attempt to defeat rate limits, authentication or monitoring.
- Scrape the website or documentation, or use automated means to extract content at scale.
- Share, resell or sublicense your access, or use another person’s credentials.
- Reverse engineer the services, except to the extent that restriction is unenforceable by law.
- Use the services to build a competing product, or to benchmark them for publication, without our written consent.
- Upload malicious code, or content that infringes the rights of others.
- Use the services in a way that breaks the law, or that puts us in breach of a rule imposed on us by a network, bank or regulator.
If you are processing with us and we believe your conduct breaches the merchant agreement or the network rules, we act under that agreement. These terms govern your access to the software.
6. The API, sandbox and rate limits
- Use the sandbox with test data only. Do not send real cardholder data to test endpoints.
- Rate limits apply and may change. We will give reasonable notice of a reduction that affects your integration.
- We may deprecate an API version, with at least 12 months' notice by email and in the changelog, which will be available soon. Breaking changes only appear in a new version, and you stay on yours until you move.
- Where a security vulnerability or a card network rule requires a faster change, we may act on shorter notice and will contact you directly.
- Automated access must identify itself honestly and respect published limits.
7. Preview and beta features
Some features are offered as a preview, labeled as such in the portal or documentation. Preview features may change or be withdrawn, may not be supported, and are excluded from any service levels. Do not rely on a preview feature for production volume without written confirmation from us.
8. Automated and agentic features
Parts of the platform make automated decisions and take automated actions, including underwriting, screening and routing. Where you enable a feature that acts on your behalf, you remain responsible for the outcome, and for setting the limits and approvals that constrain it.
We describe what is automated, what is logged, and what requires human approval in the documentation and in the privacy policy.
9. Your content and data
You keep ownership of the data you submit. You grant us the license needed to operate the services, including to process, store and transmit that data to the processors, banks and vendors involved in delivering them.
Personal information is handled as described in the privacy policy. Where we process personal information on your behalf as a service provider, the terms of that processing are in your agreement with us and the applicable data processing terms.
We may use transaction and account data in aggregated or de-identified form to operate, secure and improve our services, including to train and improve our fraud, risk and routing models. De-identified data is handled so that it cannot reasonably be linked to you or any individual, we do not attempt to re-identify it, and we require anyone we share it with to do the same. We do not share data identifying you or your business with other customers.
10. Our intellectual property
The services, the documentation, and the High Wire name and marks are owned by us or our licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use them while your account is active, and nothing more.
Card network and payment method names are trademarks of their respective owners and appear only to indicate accepted payment methods.
11. Feedback and publicity
If you send us suggestions, we may use them without restriction or obligation, and we will not identify you as the source without your permission.
Neither party may use the other’s name or marks in publicity without prior written consent.
12. Third-party services
The services connect to processors, banks and other providers. We are not responsible for their acts or omissions, and their terms may apply to you directly. Where a third party suspends or declines a service, our obligations are limited accordingly.
13. Availability and changes
We aim to keep the services available and will publish incidents on a status page, which will be available soon. We may change, suspend or withdraw features. Where a change is material and adverse, we will give thirty (30) days notice through the portal or by email.
Any service levels that apply to you are in your signed agreement, not here.
14. Disclaimers
Except as expressly stated in a signed agreement, the website, documentation, sandbox and portals are provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
Nothing on the website is legal, tax or compliance advice. Pages describing interchange, surcharging, PCI scope or card network rules are general information. Rules change and vary by state and by network. Take your own advice before relying on them.
15. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
Our total liability arising from your use of the website, documentation, sandbox and portals is limited to the greater of fees paid in the preceding 12 months, or a fixed sum of $500 where no fees are paid for these components.
16. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the services, your content, or your violation of law or card network rules.
17. Suspension and termination
We may suspend or terminate access to the website, documentation, sandbox or portals if you breach these terms, if we are required to by law or by a partner, or to protect the security of the platform or other customers.
Suspension of portal access does not by itself terminate payment processing, and termination of processing is governed by your merchant agreement. Where we can, we will give notice and an opportunity to remedy.
18. Export controls and sanctions
You must comply with applicable export control and economic sanctions laws, and must not make the services available to a person or entity subject to those restrictions.
19. Electronic communications
You consent to receive notices, agreements and disclosures from us electronically, through the portal or to the email address on your account.
20. Disputes and governing law
These terms are governed by the laws of California, without regard to conflict of laws rules. The parties submit to the courts of Los Angeles County, California.
21. General
- Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Subcontractors. We may use subcontractors and affiliates to perform our obligations, and remain responsible for their performance.
- No agency. Nothing here creates a partnership, joint venture, employment or agency relationship between us.
- Force majeure. Neither party is liable for a failure caused by events beyond its reasonable control.
- Severability. If a provision is unenforceable, the rest remains in effect.
- Waiver. A failure to enforce a provision is not a waiver of it.
- Survival. Provisions that by their nature should survive termination do so, including intellectual property, disclaimers, limitation of liability, indemnity and governing law.
- Entire agreement. These terms, together with any signed agreement and any product-specific terms, are the entire agreement about the subject matter, subject to the order of precedence in section 2.
22. Changes to these terms
We may update these terms. The current version is posted on the website with its effective date. Material changes are notified through the portal or by email at least thirty (30) days before they take effect. Continuing to use the services after that date means you accept the updated terms. For material changes, we may also ask portal users to accept the updated terms when they next sign in. No update to these terms amends a signed agreement.
